The User must safeguard account credentials and access authorizations, grant access only to appropriate persons, and promptly disable or remove access when it is no longer authorized. The User must notify Allpay promptly upon becoming aware of suspected unauthorized access or use.

5. Restrictions

The User shall not, and shall not allow any third party to:

5.1 Reverse engineer, decompile, or attempt to derive source code, ideas, structure, or algorithms of the Software, except to the extent permitted by law.

5.2 Provide, lease, lend, publish, distribute, sublicense, assign, or otherwise make the Software available to third parties. This restriction does not prohibit authorized use of the Team functionality or integrations expressly made available by Allpay, in accordance with these Terms.

5.3 Modify or create derivative works. Any fixes/modifications made by the User (even if in breach) shall be Allpay’s exclusive property, subject to these Terms, and are hereby assigned to Allpay upon creation.

6. Intellectual Property Rights

6.1 All IP rights in the Software and Allpay products remain solely with Allpay.

6.2 The Website will display a notice that it is operated by Allpay, including a link to Allpay’s site.

6.4 The User represents it owns necessary rights in content uploaded to the Website.

6.5 The User grants Allpay a limited, non-exclusive license to use User-provided information solely to provide and improve the Services, and as otherwise described in the Privacy Policy.

7. Term and Termination

7.1 This Agreement starts upon registration (submission of any personal/business data in the Application) and continues until the account is deleted by the User or Allpay.

7.2 Allpay may change or suspend components of the Services from time to time. If Allpay decides to cease the Services entirely, it will provide 14 days’ notice to the User’s registered email.

7.3 Allpay may suspend or terminate immediately if: (a) unpaid fees or unremedied breach within 7 days of notice; (b) suspected abuse/illegal use or harm; (c) maintenance/outages; (d) irreparable breach or IP violations; (e) insolvency events not cured within 30 days.

7.4 In cases of suspected illegal, fraudulent, or unauthorized transactions, Allpay may notify and request the relevant Payment Processor/Acquirer to review, suspend, delay, refund, or reverse the relevant transaction or payout, in accordance with the Payment Processor’s/Acquirer’s own procedures, card network rules, and applicable law.

Allpay does not hold seller funds and does not independently execute payouts, refunds, reversals, or settlement actions.

7.5 Upon termination, the User must cease all use of the Services.

7.6 Upon termination, Allpay may remove the User’s Website and personal area from its servers and delete data, subject to legal retention obligations.

7.7 Upon termination and upon request within 30 days, Allpay will provide a copy of the latest available data backup (in a reasonable, commonly used format).

7.8 Sections 5, 6, 8, 9, 10 (and their sub-sections) survive termination.

8. Limitation of Liability

8.1 The Services are provided “as is” and “as available.” To the maximum extent permitted by law, Allpay is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits or business interruption.

8.2 In all cases, Allpay’s aggregate liability is capped at the average monthly fees actually paid by the User to Allpay during the three months preceding the event. If no fees were paid in the 30 days preceding the event, Allpay shall have no liability.

8.3 If limitations are not permitted under applicable law, liability is limited to the maximum extent allowed.

8.4 Invoices made available via the Application may not always be accessible; the User is responsible for downloading and securely storing copies.

8.5 The User’s account serves as a Signing Device creating a secure electronic signature for documents generated via Allpay; the User must maintain sole control, per applicable electronic signature laws.

9. Indemnification

The User will indemnify and hold harmless Allpay, its owners, employees, and affiliates from any losses, damages, costs, and expenses (including reasonable attorneys’ fees) arising from the User’s content, activities, or breach of these Terms.

10. Transaction Processing

10.1 Agreements with Payment Processors/Acquirers are concluded directly between them and the User. Allpay does not approve/decline transactions and does not decide on granting access to payment gateways.

10.2 Terms of Payment Processors/Acquirers govern their services; they are outside these Terms.

10.3 The User authorizes Payment Processors/Acquirers to deduct amounts due (including fees, adjustments) in accordance with applicable payment services laws, without prior notice where legally permitted.

10.4 All deductions, settlements, payouts, adjustments, refunds, and chargebacks are handled by the relevant Payment Processor/Acquirer and not by Allpay.

10.5 The User authorizes Allpay to share necessary personal/business information with Payment Processors/Acquirers for onboarding, verification, processing, risk/fraud management, and compliance, as described in the Privacy Policy.

10.6 The User confirms it is the sole beneficiary of its business (unless otherwise notified as required by law).

11. Third-Party Services and Integrations

11.1 The Services may include Third-Party Services integrated into the Allpay platform.

11.2 Allpay is not responsible for Third-Party Services, does not represent them, and provides no warranties on their behalf.

11.3 The User acknowledges that certain Third-Party Services may involve service fees payable to Allpay and/or third parties. This does not include holding or settling customer payment funds by Allpay.

11.4 Allpay may discontinue support/provision of any Third-Party Service at its discretion without liability.

11.5 Google Tag Manager (GTM) and Custom Scripts

a. Allpay may allow the User to implement GTM or similar scripts on checkout and/or success pages.

b. Such integrations are at the User’s sole risk. Allpay does not review or guarantee security, legality, accuracy, or functionality.

c. The User must ensure that scripts do not: (i) interfere with checkout/payment flow or Allpay systems; (ii) collect/transmit cardholder data or other sensitive information; (iii) mislead users via redirects/overlays; (iv) breach applicable laws, privacy rules, PCI DSS, or Allpay’s Content Security Policy (CSP) and implementation guidelines.

d. The User is fully liable for consequences of such integrations (including data breaches, fraud, reputational harm, customer complaints, chargebacks, fines, regulatory actions).

e. The User will indemnify and hold harmless Allpay, its employees, and affiliates from claims, damages, and expenses arising from such integrations.

f. Allpay may suspend or disable GTM/custom integrations at any time if they pose risks to security, compliance, or user experience. Allpay may require the User to use allow-listed tags only and prohibit inline JavaScript.

11.6 AI Assistants and MCP Integrations

a. The User and its Team Users may connect third-party AI assistants or other compatible applications to the Allpay account through the Model Context Protocol (“MCP”) or similar integrations. By authorizing a connection, they authorize the connected application to request and receive account information and to submit instructions or perform supported actions through the integration, within the access and functionality made available by Allpay. Personal information is processed as described in the Privacy Policy.

b. Each Team User with account access may independently authorize an MCP connection and obtain the full account information available through that integration. Granting Team access therefore also enables access through MCP; separate approval by the account owner is not required for each connection.

c. The User is responsible for selecting appropriate third-party applications and providers, reviewing their terms, privacy policies, and data-use settings, and ensuring that sharing account and customer information through them is lawful. The User must take reasonable measures to protect connected application accounts, conversations containing account information, and access credentials or authorizations.

d. Connected applications and access authorizations can be viewed in the MCP integration settings. The User is responsible for reviewing these connections and managing access granted by the User and its Team Users.

e. Disabling or removing a Team User’s account access also terminates MCP access associated with that Team User. Terminating access prevents further retrieval through that authorization but does not delete information already received or retained by a third-party application or provider.

f. Third-party providers’ handling of information is governed by their own terms, privacy policies, and applicable settings. Subject to Section 8 and applicable law, Allpay is not responsible for unauthorized access, disclosure, or misuse caused by the User or its Team Users, compromised third-party accounts, or the acts or omissions of third-party providers. Nothing in this section excludes Allpay’s own obligations or liability that cannot lawfully be excluded.

g. The User is responsible for instructions, requests, and actions initiated by or through an AI assistant, agent, or automated system using access authorized by the User or its Team Users, including through MCP, API integrations, or other supported access methods. To the extent permitted by applicable law, such instructions and actions are attributable to the User and have the same effect as instructions and actions submitted directly by the User. Allpay may rely on them, subject to the applicable permissions and any confirmation requirements imposed by Allpay. The User remains responsible where the connected system makes an error or misinterprets the User’s instructions.

h. The User is responsible for configuring and supervising connected systems, establishing appropriate instructions, limits, and review procedures, and checking the results of actions performed on its behalf. This includes verifying the accuracy of payment amounts, currencies, customer details, installment schedules, and subscription terms before using or sharing generated payment requests or links. These provisions are subject to Section 8 and applicable law and do not exclude Allpay’s own obligations or liability that cannot lawfully be excluded.

12. Miscellaneous

12.1 Relationship of the parties: independent contractors.

12.2 Governing law: Israel; exclusive jurisdiction: Tel Aviv courts.

12.3 If any provision is held invalid/unenforceable, the remainder remains in effect.
